Terms of service
The agreement you accept when you use OTA Systems. Written in plain English where we can — the bold parts are the ones worth re-reading.

1. The service
OTA Systems is a commission-reclaim and multi-OTA operations platform for hotels, operated by Multisystems, Inc.(“we,” “us”). These Terms govern every account on live.otasystems.ai.
2. Your account
You must be authorised to bind the hotel or management company whose data you connect. You're responsible for keeping your credentials secure and for every action taken under your account.
3. Subscription and payment
- Monthly subscriptions auto-renew until cancelled.
- Annual subscriptions include a 15% discount and auto-renew annually.
- You can cancel any time — the cancellation takes effect at the end of the current billing period.
- Overdue payments past 14 days may result in account suspension. We'll email you first.
- We do not take success fees or per-claim fees. You keep 100% of reclaimed commission.
4. What we don't do
We never file a dispute on your behalf.Neither Expedia Partner Central nor Booking.com Extranet exposes a submit-dispute API — so every dispute is filed by you, pasting our pre-generated package into the OTA's extranet. We provide evidence, formulas, deep-links, and status tracking. You click Submit.
We don't guarantee any specific dollar recovery. We guarantee that every eligible booking is audited against our rules and queued with a countdown.
5. Acceptable use
You agree not to:
- Resell, sublicense, or white-label the service without a Portfolio-tier agreement.
- Use the service for properties you don't own or manage.
- Reverse-engineer the dispute-prep logic for a competing product.
- Upload data that you're not legally authorised to share.
6. Intellectual property
The OTA Systems software, trademarks, and content belong to Multisystems. The data you upload or sync from your OTAs belongs to you. We license that data strictly to run the service for you.
7. Warranties and liability
The service is provided “as is.” We do not warrant that every reclaim will be approved by the OTA, that every external connection will be continuously available, or that every commission discrepancy will be identified. We use commercially reasonable efforts.
Our total liability for any claim is capped at the amount you paid Multisystems for OTA Systems in the 12 months before the event giving rise to the claim.
8. Termination
Either party can terminate with 30 days' notice. We can suspend accounts immediately for material breach, fraud, or non-payment. On termination you have 60 days to export your data; after that, we delete it per the retention schedule in our Privacy Policy.
9. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws. Any dispute is resolved by binding arbitration in Wilmington, Delaware, under the American Arbitration Association's commercial rules.
10. Changes
We'll email material changes at least 30 days before they take effect. Continuing to use the service after the effective date counts as acceptance.
